Non-Disclosure Agreement (NDA)
This Non-Disclosure Agreement ("Agreement") is entered into by and between /corvax-team ("Disclosing Party") and any individual or entity ("Receiving Party") who gains access to the repository /corvax-team/ss14-wl and its associated information, code, documentation, and other materials (the "Confidential Information").
By accessing the /corvax-team/ss14-wl repository, the Receiving Party agrees to the following terms:
1. Definition of Confidential Information
Confidential Information includes, but is not limited to, all source code, object code, business plans, technical data, design documents, specifications, know-how, strategies, marketing data, and other proprietary information shared within the /corvax-team/ss14-wl repository, whether oral, written, or electronic, and whether marked as confidential or not.
2. Obligations of the Receiving Party
- The Receiving Party agrees to maintain the confidentiality of the Confidential Information and to take reasonable precautions to protect such information from unauthorized disclosure or misuse.
- The Receiving Party shall not disclose any Confidential Information to any third party without the prior written consent of the Disclosing Party.
- The Receiving Party agrees not to use the Confidential Information for any purpose other than the authorized purposes of contributing to or developing the
/corvax-team/ss14-wlproject. - The Receiving Party shall not copy, reproduce, or otherwise use any Confidential Information, except as necessary for the authorized purposes within the scope of the project.
3. Exceptions to Confidentiality
The obligations of confidentiality under this Agreement do not apply to information that:
- Was already in the public domain at the time of disclosure, or becomes publicly available through no fault of the Receiving Party.
- Is rightfully received from a third party without breach of any obligation of confidentiality.
- Was known to the Receiving Party prior to disclosure by the Disclosing Party, as evidenced by written documentation.
- Is independently developed by the Receiving Party without use of or reference to the Confidential Information of the Disclosing Party.
4. Duration
This Agreement is effective upon the Receiving Party’s access to the repository and will remain in effect for the duration of the Receiving Party’s involvement with the project, and for 150 years after the termination of such involvement or access, whichever is later.
5. Return or Destruction of Confidential Information
Upon request by the Disclosing Party, or upon the termination of access to the /corvax-team/ss14-wl repository, the Receiving Party agrees to promptly return or destroy all materials containing Confidential Information and any copies thereof.
6. No Transfer of Rights
Nothing in this Agreement is intended to grant the Receiving Party any rights in or to the Confidential Information, except for the limited purpose of contributing to the /corvax-team/ss14-wl project. All intellectual property rights remain with the Disclosing Party.
7. Breach and Remedies
Any breach of this Agreement by the Receiving Party may result in irreparable harm to the Disclosing Party, and the Disclosing Party may seek injunctive relief or any other remedies available by law, including damages and legal fees.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Russian Federation. Any disputes arising out of or relating to this Agreement shall be resolved in the courts of Russian Federation.
9. Entire Agreement
This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions, agreements, or understandings of any kind.
10. Modifications
Any modifications or amendments to this Agreement must be made in writing and signed by both the Disclosing Party and the Receiving Party.
By accessing the /corvax-team/ss14-wl repository or any associated materials, the Receiving Party acknowledges and agrees to the terms of this Non-Disclosure Agreement (NDA).
